The wording below sets out the terms and conditions on which Speaklots.com Limited of The Apple Barn, Langley Park, Sutton Road, Maidstone, Kent ME17 3NQ company registration number 7771944 ('us', 'we' or 'our' in these terms and conditions) operates and maintains an online function and event speaker directory via the website www.speaklots.com (respectively 'the Website' and 'the Directory') searchable by the public for the purpose of custom referrals ('the Services'). 'You' or 'your' shall mean the person, organisation or company who enters into a contract for the provision of Services, subject to these terms and conditions ('Agreement').

1  Registration with the Directory

1.1  If you have chosen to register yourself on the Directory then you will:

1.1.1  need to prepare a written description of your background and experience of no more than 2000 characters ('Description');

1.1.2  need to choose which level of subscription you require in accordance with our package schedule

1.1.3  need to provide to us the other information required in accordance with the package selected;

1.1.4  need to comply with such other requirements and provide such information as we may prescribe on our registration page from time to time (e.g. ac ceptable formats in which the Description can be submitted); and

1.1.5  submit the Description and other information required (together, the 'Speaker Information) to us via the Website's registration page in order to become registered on the Directory.

1.2  We will process your registration on the Directory and operate and maintain the Directory and the Website subject to:

1.2.1  you having made payment of the subscription payment applicable to the package selected on the registration page in accordance with sub clause 1.1.2 in the amount set out in our tariff of charges as shown in the relevant page of the Website;

1.2.2  the Description you have provided complying with the requirements of clause 1.1;

1.2.3  our right to refuse registration under clause 1.4 (as well as the limitations and exclusions set out elsewhere in this Agreement).

1.3  Our aim is, subject to you complying with the other provisions of this clause 1, to ensure that you are entered on the Directory along with the information submitted by you to us in accordance with clause 1.1, within three working days after the receipt of your Description and your payment.

1.4  We reserve the right at our sole discretion to decide that all or any partof the Description is inappropriate or misleading and consequently we may not provide any written note of advice and assistance to you.

1.5  If we decide not to process your registration or to cancel your registratio n under clause 1.4, then at our option, we will:

1.5.1  refund the Subscription Payment you have made; or

1.5.2  provide you with written reasons why we do not regard the Description or other user provided information as appropriate or accurate and give you an opportunity to rectify the Description or information within a defined time limit. Providing any such opportunity to you shall be without prejudice to our right at any time to cancel registration.

2  Warranties

2.1  You warrant that:

2.1.1  the reproduction and/or publication of the Speaker Information by us as originally submitted or as amended pursuant to condition 1.6 will not breach any contract or infringe or violate any copyright, trademark or any other personal or proprietary right of any person or render us liable to any proceedings whatsoever;

2.1.2  any information supplied in connection with the registration is accurate, complete and true.

2.1.3  the Speaker Information complies with the requirements of all relevant legislation for the time being in force or applicable in the United Kingdom.

2.2  Your warranties under this clause apply to the Speaker Information as submitted upon registration and to any subsequent information provided by you to usfor entry in the Directory including but not limited to subsequent variations, alterations or additions to the Speaker Information, and any comments or statements by you or by someone at your request in any forum or otherwise on the Website and references to the Speaker Information in these terms shall include such subsequent variations, alterations or additions to the information.

3  Payment

3.1  The prices for the Services are located on the tariff of charges page of our Website. The price you will pay will be that stated at the time you place your order and will depend on the package you have selected.

3.2  The applicable subscription fee is due annually in advance. Upon registration you will be asked to provide your credit card details to effect payment through Paypal.

3.3  All prices stated are inclusive of VAT.

4  Our Reserved Rights

4.1  We may, without derogation from the warranties contained in condition 2, refuse or require to be amended any Description or Speaker Information so as to c omply with the legal or moral obligations placed on us or you.

4.2  We have the right at our discretion to decline to publish, or to omit, suspend or change the position of any Speaker Information otherwise accepted for insertion.

4.3  We shall have the right to change the format and display of the Directory and the Website.

4.4  It is your responsibility to check the correctness of the Speaker Information.

4.5  Any matter of complaint, claim or query (whether in relation to the Directory, the Speaker Information, the Website or our charges) must be raised with us in writing within 7 days following (as the case may be) completion of your registration or of the date on which it is claimed the registration should have appeared on the Directory or of the receipt by you of our invoice. Without prejudice to our entitlement to be paid for the registration in accordance with the package selected by you upon registration our liability is limited to a maximumat our option of giving a credit for our charges. Such complaint, claim or query shall not affect your liability for payment by the due time of the subscription charges for the registration.

5  Exclusion of liability

5.1  Except in the case of death or personal injury caused by our negligence, our liability under or in connection with the Services, whether arising in contract, tort, negligence, breach of statutory duty or otherwise shall not exceed the amount you have paid for the subscription.

5.2  We shall not be liable to you in contract, tort, negligence, breach of statutory duty or otherwise for any loss, damage, costs or expenses of nature whatsoever incurred or suffered by you:

5.2.1  of an indirect or consequential nature nor

5.2.2  for any economic loss or other loss of turnover, profits, business or goodwill.

5.3  Nothing in these terms excludes liability for our fraud.

5.4  Without prejudice to the generality of the foregoing provisions of this clause 9, and by way of illustration only, we shall not be liable for the following losses or liability you may suffer or face caused by your reliance or use of the Services or your registration and appearance in the Directory, failure to appear in the Directory, or misrepresentation in the Directory:

5.4.1  you (or someone on your behalf) suffering loss by reason of inaccuracy or incompleteness of any information or data provided by or to you;

5.4.2  you suffering a business loss or being unable to undertake any business activity;

5.4.3  a third party making a claim against you; or

5.4.4  a government or regulatory authority imposing a fine, penalty or obligation on you.

6  Duration and Termination

6.1  The subscription shall be for a minimum period of 1 year ('he Initial Term') commencing on the date on which your registration is completed and your details first appear on the Website ('the Commencement date') and shall continue au tomatically on an annual basis.

6.2  You may not cancel the subscription during the Initial Term otherwise than in the event of a repudiatory breach of these terms by us although this is without prejudice to your right to ask us to withdraw your registration from the Directory and the Website.

6.3  Should you wish to cancel the registration and subscription with effect from any day after the Initial Term, you must notify us in writing at least one month prior to the intended cancellation date and any such notice must take effect on the last day of the relevant annual period.

6.4  We may terminate this Agreement where you are in substantial breach of thes e terms or any other fair use policy of the Website;

6.5  We may also terminate this Agreement where we decide to withdraw the Website (whether on a temporary or permanent basis) or decide no longer to permit access to the Website by you (by use of passwords or changes of passwords or by any other means). In such cases, where you have paid for any Services and have not received all of the Services you have paid for, we may either:

6.5.1  return any amounts you have paid; or

6.5.2  continue the registration until such period as has been paid for has finished.

7  General

7.1  It is agreed that the content of the Speaker Information you provide to us including any statements of opinion or fact, and representations in that regard are your responsibility and does not reflect our opinions or views.

7.2  You will indemnify us and agree to keep us indemnified against all claims, costs, proceedings, demands, losses, damages, expenses or liability whatsoever arising directly or reasonably foreseeably as a result of any breach or nonperformance of any of the representations, warranties or other terms contained in these conditions or implied by law.

7.3  The completion by you of the registration shall amount to an acceptance of these terms.

7.4  The contract which incorporates these conditions shall be construed under and governed by the law of England and the parties submit to the exclusive jurisdiction of the English courts.

7.5  This Agreement may only be amended in writing signed by duly authorised representatives of either you or us.

7.6  We may assign and transfer all our rights and obligations under these terms to any person to which we transfer all of our business, provided that the assignee undertakes in writing to the non-assignee to be bound by the obligations of the assignor under this Agreement.

7.7  No failure or delay by us in exercising any right, power or privilege under these terms shall impair the same or operate as a waiver of the same nor shall any single or partial exercise of any right, power or privilege preclude any further exercise of the same or the exercise of any other right, power or privilege. The rights and remedies provided in this Agreement are cumulative and not exclusive of any rights and remedies provided by law.

7.8  The validity, construction and performance of this Agreement shall be governed by English law and shall be subject to the exclusive jurisdiction of the English courts to which you and we submit.

8  Our data protection policyInformation we hold about you

8.1  Speaklots.com Limited ('us’ or ‘we') take your privacy very seriously. We ask that you read the privacy policy embodied in this clause carefully as it contains important information about what to expect when we collect personal information about you and how we will use your personal data.

The information we collect about you

8.2  When you register for our service we collect personal information from you including the Speaker Information set out in clause 1 of these terms together with:

8.2.1  Your personal address, email and phone number;

8.2  Occasionally we may receive information about you from other sources (suchas customers) which we will add to the information which we already hold about you but process in a fair manner and in accordance with this clause.

How we will use the information about you

8.3  We gather this information to allow us to process your registration. The Speaker Information is used by us, our agents and sub-contractors to process your entry on the Directory for access by members of the public on the Website. Personal contact information is used by us to communicate with you on any matter relating to the conduct of your account and the Services in general.

8.4  We may also use aggregate information and statistics for the purposes of monitoring usage of the Website in order to help us to develop the Website and our services. These statistics will not include information that can be used to identify you.

8.5  From time to time we may provide your information to our customer service agencies for research and analysis purposes so that we can monitor and improve the Services. We or our agents and sub-contractors may contact you by post, email or telephone to ask you for your feedback and comments on our Services.


8.6  We may also wish to provide you with information about special features of our Website or any other service or products we think may be of interest to you. If you would rather not receive this information, please send a blank email message to info@speaklots.com. If you agree to us providing you with marketing information, you can always opt out at a later date.

8.7  We may also want to provide you with related information from third parties we think may be of interest to you. If you would rather not receive this information, please send an email to info@speaklots.com. If you agree to us providing you with third party marketing information, you can always opt out at a later date.

How we protect your information

8.8  We place great importance on the security of all personally identifiable information associated with our users. We have security measures in place to attempt to protect against the loss, misuse and alteration of personal data under our control. For example, our security and privacy policies are periodically reviewed and enhanced as necessary and only authorized personnel have access to user information. Our database is hosted in a secure data Centre. Whilst we cannot ensure or guarantee that loss, misuse or alteration of data will not occur, we use our best efforts to prevent this. We do not store any financial data.

8.9  We will use all reasonable efforts to safeguard your personal information. However, you should be aware that the use of the Internet is not entirely secure and for this reason we cannot guarantee the security or integrity of any personal information which is transferred from you or to you via the Internet.

Access to your information and updating and correcting your information

8.10  You have the right to request a copy of the information that we hold about you. If you would like a copy of some or all of your personal information, please send an email to info@speaklots.com or send a letter to Zoe Meyer, 18 The Lindens, St. Benets Way, Tenterden, Kent TN30 6QT. We may make a small charge for this service.

8.11  We want to ensure that your personal information is accurate and up to date. If any of the information that you have provided to us changes, for example if you change your email address, name or payment details, please let us know the correct details by sending an email to info@speaklots.com or by sending a letter to Zoe Meyer, 18 The Lindens, St. Benets Way, Tenterden, Kent TN30 6QT. You may ask us, or we may ask you, to correct information you or we think is inaccurate, and you may also ask us to remove information which is inaccurate.

Sale of business

8.12  If our business is sold or integrated with another business your details may be disclosed to our advisers and any prospective purchasers and their advisers and will be passed on to the new owners of the business.

Your consent

8.13  By submitting your personal information you consent to the use of that information as set out in this policy.

Changes to this privacy policy

8.14  We keep our privacy policy under regular review. If we change our privacy policy we will post the changes on this page, and place notices on other pagesof the website, so that you may be aware of the information we collect and how we use it at all times. Speaklots 2011
